BOARD OF GOVERNORS

21.02 BOARD OF GOVERNORS
There shall be an Advisory Board of Governors mage up of past presidents of the District. The Board of Governors may be consulted by the Board of Directors of the District at any time on any matter deemed necessary by the Board of directors.

Amendment to By-Laws

Toronto District

Whereas the national executive of the National Congress of Italian Canadians, at its meeting of May 4, 1999, recommended that the various regions and districts of the National Congress of Italian Canadians include among the members of their respective boards representatives of designated Italian Canadian umbrella organizations corresponding to the various political regions of Italy; and

Whereas at its meeting of May 17, 1999, the board of directors of the national National Congress of Italian Canadians - Toronto District adopted in principle the foregoing recommendation of the national executive to the National Congress of Italian Canadians; and

Whereas such meeting requires appropriate notice o any recommendation of the board of directors of the National Congress of Italian Canadians - Toronto District to amend in any way the constitution of the National Congress of Italian Canadians - Toronto District;

Now therefore be it resolved that the board of directors of the National Congress of Italian Canadians - Toronto District hereby recommends to the general assembly of the delegates of the member- organizations of the National Congress of Italian Canadians - Toronto District the following addition to its constitution:

22. ADDITIONAL REPRESENTATION

22.01 The board of directors elected at the annual general meeting held at the time this section is adopted by the assembly of delegates of the National Congress of Italian Canadians - Toronto District shall within one year of the adoption of said section identify to its satisfaction bona fide Italian Canadian organizations (known as "umbrella" organizations), the members of which are societies and clubs which have associated themselves under the auspices of said "umbrella" organizations on the bases of common connections to the various political regions of Italy.

22.02 Provided such "umbrella" organizations meet all other requirements of member-organizations of the National Congress of Italian Canadians - Toronto District, such organizations shall be known as "designated representation" member organizations and as such shall be entitled to nominate one individual as delegate of said organization to the general assembly of the Toronto District, for purposes of said individual's direct appointment to the board directors of the Toronto District by the board of directors of the Toronto District.

22.03 Appointees of no more than three "designated representation" member-organizations shall serve as members of the board of directors of the National Congress of Italian Canadians - Toronto District at any one time and no one appointee shall serve to a date than the second annual general meeting of the assembly of delegates of the member-organizations after such delegate's appointment.

22.04 Selection of individual delegates of "designated representation" member- organizations shall be on a rotation basis according to the alphabetical order of the names of the various political regions of Italy; namely: Abruzzi, Calabria, Campania, Emilia-Romagna, Friuli-Venezia Giulia, Lazio, Liguria, Lombardia, Trentio-Alto Adige, Umbria, Valle d'Aosta, Veneto.

22.05 Where a bonna fide Italian Canadian "umbrella" organization corresponding to a political region as listed above does not exist or cannot be identified to the satisfaction of the board of directors of the Toronto District, the organization corresponding to next region in the alphabetical sequence set forth above shall be considered by the board of directors, for purposes of the appointment of an individual as delegate of said organization to the board of directors of the Toronto District as heretofore provided in this section.

22.06 The board of directors of the Toronto District reserves to itself the right to refuse without cause the appointment of any individual nominated by a "designated representation" member-organization. In the event of such refusal, notice shall be delivered to the "designated representation" member –organization within thirty days of such refusal, and within sixty days of such refusal the "designated nominee is not acceptable to the board of directors of the Toronto District, the representation" member-organization corresponding to the next political region of Italy on the foregoing alphabetical list shall be invited to nominate a delegate for direct appointment to the board of directors.
